Wynn Macau Sets $150M IP Payment Cap for 2026

Wynn Macau has outlined its planned intellectual property payments for 2026, establishing a ceiling of approximately $150 million (HK$1.17 billion) to be remitted to Wynn NKH, LLC, a wholly owned U.S. subsidiary of Wynn Resorts. The payments fall under the category of continuing connected transactions, reflecting the corporate relationship between the entities.

Licensing Terms and Fee Calculation
The payments derive from intellectual property license agreements effective January 1, 2025, granting Wynn Macau and its operating arm, Wynn Resorts (Macau), rights to trademarks and proprietary assets owned by Wynn Resorts. Fees are calculated as either 3% of gross monthly revenue from the licensed property or a minimum of $1.5 million per month, whichever is higher.

The arrangement replaces prior agreements dating back to 2009 and is structured as a perpetual license, ensuring long-term continuity for brand operations in Macau. The contracts also include termination clauses for scenarios such as significant regulatory changes or changes in corporate control.

Corporate and Regulatory Context
Wynn Resorts owns roughly 72% of Wynn Macau, meaning all payments to the parent company qualify as continuing connected transactions under Hong Kong listing rules. This classification necessitates strict reporting and transparency to safeguard minority shareholders’ interests.

The 2026 cap mirrors the limit applied in 2025 and results from arm’s-length negotiations. It reflects careful consideration of historical payment records, projected revenues and the established formula for license fees, providing stability in financial planning.

Strategic Significance
Securing the rights to use the Wynn brand ensures Macau can leverage the global reputation of its parent company. The perpetual licensing structure offers operational certainty while defining the maximum financial commitment for investors. Maintaining the fee ceiling in line with 2025 underscores the operator’s focus on prudent financial management amid evolving regulatory and market conditions.
